General Terms and Conditions of Sale
These General Terms and Conditions of Sale govern sales between TYRON DISTRIBUTION (“the Seller”) and its professional customers (“the Buyer”). They apply to the exclusion of any other terms, in particular the Buyer’s purchasing terms.
Article 1 — Purpose and scope
Sales are reserved exclusively for professionals (garages, resellers, traders) acting within their business. Account creation and validation of professional status are required before any order. The Buyer declares having the legal capacity to contract.
Article 2 — Products
The products offered are new passenger-car tyres. Specifications, EU labelling and availability are shown on the product pages. Images are non-contractual.
Article 3 — Prices
Prices are stated in euros, excluding tax. Negotiated net rates may apply depending on the Buyer’s account. Applicable prices are those in force when the order is confirmed.
VAT at the applicable rate is added where relevant. For Buyers established in another EU member state holding a valid EU VAT number, the intra-Community supply benefits from the reverse charge: VAT is payable by the recipient (Article 196 of Directive 2006/112/EC).
An eco-contribution and delivery charges may apply; they are shown before order confirmation.
Article 4 — Orders
An order may be preceded by a quote. It becomes firm and final upon confirmation by the Buyer and acceptance by the Seller. A minimum order amount may be required and is shown at checkout.
Article 5 — Payment
Payment is made by card or SEPA direct debit via the Stripe provider, or under the terms agreed for the account. Payment is due on ordering unless written payment terms have been granted.
In accordance with Article L. 441-10 of the French Commercial Code, any late payment automatically incurs late-payment penalties (ECB rate plus 10 points) and a fixed recovery indemnity of €40.
Article 6 — Delivery and collection
Products are delivered to the address given by the Buyer or collected at the Roubaix warehouse, depending on the chosen option. Lead times are indicative. Zones, rates and free-shipping thresholds are shown at checkout.
Risk passes when the products are handed over to the carrier. The Buyer must check the goods on receipt and raise any reservations with the carrier within the legal time limits.
Article 7 — Retention of title
The Seller retains ownership of the products until full payment of the price. Risk nonetheless passes upon delivery.
Article 8 — Warranties
Products benefit from the legal warranties applicable between professionals, in particular the warranty against hidden defects (Articles 1641 et seq. of the French Civil Code). Any manufacturer commercial warranties apply under their own terms.
Article 9 — No right of withdrawal
As sales are concluded between professionals for their business needs, the right of withdrawal granted to consumers by the French Consumer Code does not apply.
Article 10 — Claims
Any claim must be sent to contact@tyron-distribution.com. The Seller undertakes to respond as soon as possible.
Article 11 — Force majeure
The Seller cannot be held liable for non-performance due to force majeure within the meaning of Article 1218 of the French Civil Code.
Article 12 — Personal data
Personal data processing carried out within the commercial relationship is described in the Privacy Policy.
Article 13 — Governing law and jurisdiction
These terms are governed by French law. Failing an amicable settlement, any dispute falls under the exclusive jurisdiction of the Commercial Court of Lille Métropole (France).
